Terms of Service

By using the Services, you are deemed to have agreed to all provisions of these Terms. If you do not agree to these Terms, you may not use the Services.

These Terms have been prepared in accordance with Japanese law and the EU General Data Protection Regulation (GDPR).

The terms used in these Terms are defined as follows:

• "Services": All services provided by the Company related to strategy consulting, data analytics, AI development, and AI talent/organizational development
• "User": Any individual or entity that uses the Services
• "Registration Information": Information provided by the User to the Company for the purpose of using the Services
• "Content": All information provided through the Services, including text, images, videos, audio, software, and other materials

We provide the following services:

• Strategy consulting (business strategy, marketing strategy, D&A strategy, AI strategy, etc.)
• Data analytics (big data analysis, statistical modeling, market research, etc.)
• AI development (multi-agent systems, generative AI, RAG, etc.)
• AI talent and organizational development (training, development support, organizational assessment, etc.)
• Related ancillary services

Specific service details, pricing, and contract terms shall be defined in individual contracts or purchase orders.

User registration is required to use certain services. When registering, please observe the following:

• Provide accurate and current information
• Promptly update registration information when changes occur
• Properly manage account information (ID, password, etc.) and not disclose it to third parties
• Immediately notify the Company if unauthorized use of your account is discovered

All activities performed under your account shall be deemed to have been performed under your responsibility.

Users may use the Services subject to the following conditions:

• Compliance with these Terms and applicable laws and regulations
• Adherence to usage conditions and pricing structures presented by the Company
• Use of the Services only for appropriate purposes
• Not infringing on the rights of third parties

The Company may suspend or restrict the provision of Services without prior notice if a violation of these Terms by a User is identified.

Users shall not engage in the following activities:

• Activities that violate laws, regulations, or public order and morals
• Activities related to criminal conduct
• Activities that infringe on the intellectual property rights, privacy rights, reputation, or credit of the Company or third parties
• Activities that interfere with the operation of the Services
• Unauthorized access, transmission of computer viruses, or similar activities
• Reverse engineering, decompilation, disassembly, or similar activities
• Unauthorized commercial use of the Services
• Unauthorized collection of other users' information
• Registering or providing false information
• Transferring or lending accounts to third parties
• Any other activities deemed inappropriate by the Company

All intellectual property rights related to the Services and all associated content (trademarks, logos, text, images, videos, software, programs, etc.) belong to the Company or the rightful owners.

Users may not reproduce, repost, distribute, adapt, publicly transmit, or otherwise use such content without the prior written consent of the Company.

Intellectual property rights for content posted or uploaded by Users through the Services remain with the User; however, the Company may use such content free of charge and on a non-exclusive basis to the extent necessary for providing and improving the Services.

We handle Users' personal information in accordance with our Privacy Policy.

Under the EU General Data Protection Regulation (GDPR), Users have the following rights:

• Right of access, right to rectification, right to erasure
• Right to restriction of processing, right to data portability
• Right to object

The Company makes no warranties, express or implied, regarding the content, quality, or functionality of the Services.

The Company shall not be liable for the following:

• Interruption, suspension, termination, modification, or deletion of the Services
• Accuracy, completeness, or usefulness of information provided through the Services
• Disputes between Users or between Users and third parties
• Damages caused by force majeure (natural disasters, war, riots, civil unrest, enactment/amendment of laws, exercise of governmental authority, etc.)
• Damages caused by Users' device or communication environment
• Unauthorized access to or interference with the Services by third parties

In the event that damages are incurred by a User due to causes attributable to the Company, the scope of damages to be compensated shall be limited to ordinary damages that have directly and actually occurred, and shall not include lost profits, indirect damages, special damages, or consequential damages.

The maximum amount of compensation shall not exceed the amount paid by the User to the Company under the individual contract that caused the damage.

The Company may suspend or terminate all or part of the Services without prior notice to Users in the following cases:

• When performing system maintenance, inspection, or repair
• When provision is difficult due to force majeure such as fire, power outage, or natural disaster
• When the Company determines that suspension or termination is necessary

The Company may suspend service provision or terminate the contract without prior notice if a User falls under any of the following:

• Violation of these Terms
• False registration information
• Delay or refusal of payment
• Identified as being associated with anti-social forces
• When the Company determines that the relationship of trust between the Company and User has been compromised

The Company may modify these Terms as necessary. The revised Terms shall take effect upon publication on the Company's website.

For significant changes, we will notify you via our website or email. If Users continue to use the Services after the changes, they shall be deemed to have agreed to the revised Terms.

These Terms shall be governed by the laws of Japan.

In the event of a dispute arising in connection with these Terms or the Services, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
